Bruce McSpadden helps Stuart & Branigin clients do business in the U.S. and abroad. And, thanks to his eight years as in-house assistant general counsel for a Fortune 300 chemical manufacturing company, Bruce has first-hand insight into how he can best help corporations as outside counsel.
"I try to combine analytical and negotiating skills with an understanding of people to help clients solve complex business and regulatory problems as quickly and effectively as possible," says Bruce.
Bruce has been lead attorney on many domestic and multi-national stock and asset acquisitions, divestitures, and joint ventures. He has negotiated and prepared long term manufacturing and supply agreements in the U.S. and numerous foreign countries, and he has helped explore and establish joint ventures in Germany, Norway, the United Kingdom, and in Israel and other Middle Eastern countries. He has also represented foreign companies in acquisitions in the United States.
Bruce forms corporations, limited liability companies, and partnerships for business and nonprofit clients. He also routinely helps clients understand and comply with a wide range of state and federal laws and regulations in areas such as export controls, OFAC regulations, conflicts of interest, communications, food and drugs, and federal lobbying rules. Clients also look to Bruce for advice with insurance coverage disputes involving insurance policies of all types.
He also helps many clients negotiate and draft commercial contracts of all types, such as real estate leases, master equipment finance leases, affiliation agreements, employment contracts for business executives and athletic coaches, and consulting and professional services agreements.
Close to home, Bruce supports nonprofit agencies as a board member and with pro bono legal services. Notably, he's worked with the Tippecanoe County Council on Aging, Indiana District IV Pro Bono Corp., the Lowe Syndrome Association, and the Legal Services Program of Northern Indiana.
